By accessing, installing, or using BrokerKarma ("the Software"), you agree to the following Terms of Service. If you do not agree to these terms, please do not use the Software.

2. Description of Service

BrokerKarma is a two-way rating platform for the freight industry that allows truckers to rate brokers and shippers, and enables brokers to respond to reviews. The platform provides transparency and helps users make informed decisions about business relationships in the freight industry.

3. User Accounts

To use certain features of BrokerKarma, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and current information
• Notifying us immediately of any unauthorized use

4. User Conduct

You agree not to:

• Post false, misleading, or defamatory content
• Harass, threaten, or abuse other users
• Violate any applicable laws or regulations
• Impersonate any person or entity
• Interfere with or disrupt the service
• Use automated systems to access the service without permission

5. Intellectual Property and Code Protection

Software Ownership: The BrokerKarma software, including all source code, object code, algorithms, databases, designs, user interfaces, documentation, and all related intellectual property, is the exclusive property of Apex Freight Capital LLC and is protected by copyright, trademark, and other intellectual property laws.

Strict Prohibitions: You are expressly prohibited from:

• Copying, reproducing, or distributing any portion of the BrokerKarma codebase
• Reverse engineering, decompiling, disassembling, or attempting to derive the source code
• Creating derivative works based on the BrokerKarma software
• Using the software to build competing products or services
• Extracting, scraping, or copying the database structure, API endpoints, or business logic
• Hosting, reselling, or redistributing the software in any form

User Content: You retain ownership of content you post (reviews, ratings, responses) but grant Apex Freight Capital LLC a perpetual, worldwide, royalty-free license to use, display, distribute, and modify your content on the platform.

Violations: Any violation of these intellectual property rights may result in immediate termination of your account and legal action, including but not limited to claims for damages and injunctive relief.

6. Prohibited Uses

You may not:

• Use the service for any illegal purpose
• Attempt to gain unauthorized access to the system, databases, or source code
• Reverse engineer, decompile, disassemble, or attempt to derive the source code
• Copy, clone, or replicate any portion of the BrokerKarma platform
• Resell, redistribute, or sublicense the service
• Use the service to build competing products or services
• Scrape, crawl, or extract data from the platform using automated tools
• Bypass security measures or attempt to access restricted areas

7. Disclaimer of Warranties

The service is provided "as is" without warranties of any kind, either express or implied. We do not guarantee the accuracy, completeness, or usefulness of any information on the platform.

8. Limitation of Liability

Apex Freight Capital LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the service.

9. Termination

We reserve the right to suspend or terminate your account at any time for violation of these terms or for any other reason we deem necessary.

10. Changes to Terms

We may modify these terms at any time. Continued use of the service after changes constitutes acceptance of the new terms.
